|科目の目的・到達目標||Studying corporate governance from a comparative international perspective, students will learn that even advanced and globally integrated economies like the US, Japan and Germany have maintained distinct national systems of corporate governance. They will acquire the skills to analyze these differences and their implications for national competitive advantage. In this way, they will gain deeper insights about international competition and global business. The multi-stakeholder perspective of corporate governance will help them to understand how governance issues overlap with risk management and how they relate to corporate social responsibility.|
|授業の概要||This course will teach corporate governance from a comparative multi-stakeholder perspective. Despite the progressive globalization of markets and business, systems of corporate governance have retained distinct national characteristics. After introducing the general notion of corporate governance as a system, we will describe and analyze the specific characteristics of the US, the Japanese and the German systems of corporate governance and discuss how they relate to their respective national systems of capitalism. We will then explore whether the competing national systems of corporate governance can be expected to converge to a global standard or whether they will remain distinct. Taking a multi-stakeholder perspective we will, in the final part of the course, study the relationship between corporate governance and risk management as well as corporate social responsibility.|
