授業の概要

This course is designed to encourage students to appreciate the value of Corporate Governance (CG) in contemporary business management. By learning the fundamentals, history and trends of CG, students will be able to perceive the underlying current that would help them navigate their career paths and therefore make sound and logical decisions as members of the society.
As the Asian share of global GDP surpassed that of Europe and North America, the class will mostly dedicate the second half of the course in specific Asian countries in regard to CG.

科目目的

The objectives of this course are to equip the student with the knowledge of the basic tenets of Corporate Governance and the current trends that impacts not only international corporations but also small-medium sized local enterprises. It will also introduce the types of regimes in Asia that critically affect the application of CG in specific Asian governments and economies.

到達目標

By the end of this course, students should have a solid grasp the fundamentals, principles and basic knowledge of corporate governance. They are to achieve the grassroots knowledge level of corporate governance so that they will have the understanding why certain corporate scandals happen and how they impact governmental decisions as well as institutional overhauls. It is imperative that learners will grasp that importance of stakeholders, board of directors and government agencies in creating the system of corporate governance. Thus, they are to pass two (2) examinations (midterm and final), report to class recent corporate governance-related updates, and participate in class debate.

【実務経験有の場合】実務経験の内容

I used to be a part of the management group of a private school in the Philippines when we encountered issues regarding dummy directors, underreported taxes and tunneling committed by the owners. Back then, guidelines on corporate governance were unheard of, adding to the ignorance of running a multi-national institution that was declared a non-profit on paper and being run a local who was never there. Until it was fully researched by me along with the proper solutions which were shared to our executives, we were able to put out the fire before it became a total disaster. I was almost a whistleblower but the executives listened to my explanations and though, reluctantly accepted the legal and managerial solutions I recommended.

In the topics covering Corporate Governance in Asia, Political regimes and corporate ownership, my experience as a freelance international business consultant to a Japanese medical company who wants to expand in Asia will serve as an example and a spring board to class discussion and debate.
